The name of this organization shall be the SOUTHERN NEW HAMPSHIRE FLYING
EAGLES RADIO CONTROL CLUB
Article II PURPOSE
Section I
The purpose of this organization shall be to promote all phases of modeling
by radio control.
Article III POWERS GRANTED
Section I
All actions taken by the organization shall be binding upon all members who
wish to maintain membership.
Section II
- The founding club officers shall have final veto should any question arise
concerning the Constitution or its Bylaws providing they have maintained their
membership in the club without interruption since the creation of the club.
- The founding club officers are Richard Stuke and Robert Lacroix.
Article IV CLUB INCORPORATION
Section I Incorporation
The club shall be incorporated as a non-profit, tax exempt entity.
Section II Dissolution
The corporation shall be dissolved within 60 days of notice when 2/3 of the
total current membership vote to dissolve the corporation.
Section III Assets
In the event the corporation is dissolved, all corporate assets will be
distributed to other clubs and/or corporations that can demonstrate their tax
exempt status as stated in Section 501 (c)(7) or 501 (c)(3) of the Internal
Revenue Code and as deemed appropriate by the current officers.
Article V MEMBERSHIP
Section I
Membership in the club is open to anyone interested in flying models, and
subject to acceptance as outlined in the Bylaws.
Section II
Members will pay dues according to the appropriate membership classification
as outlined in the Bylaws.
Section III
Any member that wishes to fly at club fields and events must hold AMA
(Academy of Model Aeronautics) membership.
Section IV
Any member who willfully violates AMA or club rules or disregards
instructions of a club officer or official may be subject to expulsion from the
clu by a simple majority vote of no less than five club officers.
Article VI OFFICERS
Section I
The officers of the club shall be President, Vice-President, Secretary,
Treasurer, Field Marshal, Safety Officer and Editor.
Section II Election of officers
- Nominations for all officers will be accepted at the regular January
meeting.
- Elections will take place at the February meeting.
- Elections shall be by a majority of club members present
The officers-elect will assume office at the March meeting.
Section III Term of office.
- The term of office for each officer shall be for one (1) year.
- No person shall hold a single office for more than 4 consecutive years.
Section IV Resignation of Officers
The resignation of any officer of the club must be in writing and becomes
effective at the meeting submitted.
Section V Removal of Officers
- Any officer missing three (3) consecutive meetings without communication
with another officer shall be removed from office.
- If an officer has missed two (2) meetings, the officer shall be notified
in writing of the consequences of missing a third meeting (as outlined
above).
Section VI Replacement of Officers
- In the event of a vacancy of the office of President, the Vice-President
shall become the President.
- In the event that both offices are vacant, an election will be held at the
next regular club meeting.
- All other office vacancies shall be filled by appointment or election at
the discretion of the President.
- The new officer will serve in that office for the remainder of the elected
term.
Article VII DUTIES AND POWERS OF OFFICERS AND MEMBERS
Section I PRESIDENT
- Shall preside at all club meetings.
- Shall, with the consent of other officers, call extra of emergency meetings
whenever necessary
- Shall assume all extra responsibilities which may arise during his tenure of
office.
- Shall prepare an Annual Budget for approval by the majority of members
present at the April meeting.
Section II VICE - PRESIDENT
- Shall, in the absence of the President preside at the club meetings.
- Shall perform such other duties as assigned by the President.
- Shall assume the office of President in the event of a vacancy.
- Shall prepare an inventory list of the field container contents and
prepare a pre-flood season removal plan prior to the March regular club
meeting.
Section III SECRETARY
- Shall take and keep the minutes of the meetings.
- Shall present minutes of previous meetings when called upon to do so.
- Shall conduct correspondence of the club.
- Shall ensure that the club bylaws are kept up to date.
Section IV TREASURER
- Shall collect all club dues.
- Shall keep accurate records of all expenditures and income.
- Shall give a monthly report including bank balance.
- Shall annually file corporation paperwork to retain our
tax-exempt status as a non-profit entity.
- Shall annually file tax return forms for the corporation. (Tax year
January 1 through December 31)
Section V FIELD MARSHAL
- Shall ensure that club fields are accessible and maintained.
- Shall keep the officers and members informed of potential problems or
situations regarding the club fields that need to be addressed
Section VI SAFETY OFFICER
Shall check models for air Worthiness and conformance to field rules.
Section VII EDITOR
Shall publish a newsletter to keep the membership updated on upcoming
events and information of importance to the club.
Section VIII GENERAL MEMBERSHIP
- Shall have the opportunity of presenting to the club any ideas and/or
suggestions.
- Shall act on all matters of general policy of the club.
- Shall vote approval of all non-budgeted moneys to be spent by the club except
as outlined in the Bylaws.
Article VIII DATE AND PLACE OF MEETINGS
Section I
The club shall meet once a month at a designated time and place to be decided
by the membership.
Article IX RATIFICATION
Section I
This Constitution shall be ratified by a two-thirds (2/3) majority vote of
the members present.
Article X AMENDMENTS
Section I
An amendment of this Constitution may be presented to the club by any member
(in good standing) in writing.
Section II
All proposed amendments must be in written form and presented to the club
membership at least one meeting before a final vote is taken on the proposal.
Section III
This Constitution may he amended by a two-thirds (2/3) majority vote of the
members present.
